Team –

As part of our ongoing commitment to keep you informed about our exciting, transformational combination with Zynga, we want to share some updates on the process.

Last month, we reached an important milestone by filing the final proxy statement. As a result, Take-Two and Zynga are planning to host stockholder meetings on May 19th, and pending approval from each set of shareholders, the transaction is expected to close shortly thereafter. Until that time, we will continue to operate as two separate companies.

We believe that this combination will benefit and add more value for all of our constituents, including our players, our colleagues, and our shareholders. Our joined cultures based on our core tenets of creativity, innovation, and efficiency will result in a leading gaming entertainment company with one of the largest and most diverse portfolios of leading-edge titles in our industry and fuel our growth for years to come. Furthermore, the ability to share best practices across our business will maximize substantial development and publishing synergies, unlock significant new revenue streams, and enable us to reach even greater audiences around the world.

Take-Two and Zynga remain deeply committed to working together effectively throughout this process, driven largely by the collaborative nature of both companies’ cultures. Our colleagues at both organizations are incredibly important to us, and we are highly focused on creating a positive integration experience for everyone. We will continue to share updates with you as this process moves forward.

Thank you for your continued hard work and support.
